1. Acceptance of Terms
By accessing and using Great Owl Marketing's website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Service Description
Great Owl Marketing provides custom chatbot development services, including:
- DIY Chatbot Solutions: Custom-built chatbots that are handed over to you for complete ownership
- Fully Managed Chatbots: Complete ManyChat hosting and ongoing management services
- Add-on Modules: Specialized features and integrations for existing chatbots
- Niche Specialization: Industry-specific chatbot solutions
3. Service Terms and Pricing
DIY Chatbot Services
- One-time buildout fee ranging from $497 to $4,997 based on complexity
- Complete ownership transfer upon project completion
- 30-day support period included
- Requires client to maintain their own ManyChat account (free or Pro at $15/month)
- Training session and documentation provided
Fully Managed Services
- Initial buildout fee ranging from $497 to $4,997
- Monthly management fee of $197 for ongoing optimization and support
- ManyChat Pro hosting included
- 24/7 technical support and monthly reporting
- Performance monitoring and regular updates
Add-on Modules
- Custom pricing based on requirements and complexity
- Quote provided after consultation
- Can be added to both DIY and Managed solutions
4. Payment Terms
- DIY Services: 50% deposit required to begin work, remaining 50% due upon completion
- Managed Services: Initial buildout fee due as above, monthly fees billed in advance
- Payment Methods: We accept major credit cards, bank transfers, and other agreed-upon methods
- Late Payments: Monthly services may be suspended for accounts 30+ days overdue
- Refunds: See Section 7 for refund policy details
5. Client Responsibilities
- Provide accurate and complete information about your business and requirements
- Respond to requests for information in a timely manner
- For DIY services: Maintain your own ManyChat account and comply with their terms
- Provide access to necessary platforms and accounts as required for development
- Review and approve deliverables within agreed timeframes
- Use the chatbot services in compliance with applicable laws and regulations
6. Intellectual Property
DIY Services
- Upon full payment, you receive complete ownership of the custom chatbot
- All conversation flows, scripts, and custom elements become your property
- You may modify, distribute, or commercialize the chatbot as desired
Managed Services
- Great Owl Marketing retains ownership of the chatbot during the service period
- You receive a license to use the chatbot for your business purposes
- Upon service termination, ownership may transfer subject to separate agreement
General
- Great Owl Marketing retains rights to our proprietary development methods and tools
- You retain ownership of your business information, branding, and content
- Neither party may use the other's trademarks without written permission
7. Refund and Cancellation Policy
DIY Services
- Refunds available if project is cancelled before development begins
- 50% refund available if cancelled during first 25% of development
- No refunds once development is 25% complete or more
- Completed work will be delivered even if project is cancelled
Managed Services
- Monthly services may be cancelled with 30 days written notice
- No refunds on monthly fees already paid
- Buildout fees subject to same terms as DIY services
- Service continues until end of current billing period
8. Service Level and Support
- DIY Services: 30-day support period for technical issues and questions
- Managed Services: 24/7 technical support and ongoing optimization
- Response Times: We aim to respond to support requests within 24 hours
- Maintenance: Regular updates and security patches included in managed services
- Emergency Support: Available for managed service clients
9. Limitation of Liability
Great Owl Marketing's liability is limited to the amount paid for services. We are not responsible for:
- Loss of profits, data, or business opportunities
- Third-party platform downtime (e.g., ManyChat, Facebook)
- Changes to third-party platform policies or features
- Client's misuse of the chatbot services
- Compliance with industry-specific regulations (client's responsibility)
10. Third-Party Platforms
Our services integrate with third-party platforms including ManyChat, Facebook, and others. By using our services, you acknowledge that:
- You must comply with all third-party platform terms and policies
- Changes to third-party platforms may affect chatbot functionality
- We will make reasonable efforts to adapt to platform changes
- Additional fees may apply for major platform adaptations
- Some features may become unavailable due to platform limitations
11. Confidentiality
- We maintain strict confidentiality of your business information
- Non-disclosure agreements available upon request
- Your data is protected according to our Privacy Policy
- We may use anonymized case studies for marketing purposes
- Specific business details will not be disclosed without permission
12. Warranty and Disclaimers
- We warrant that services will be performed in a professional manner
- Chatbots will function as specified in the project agreement
- No warranty is provided for third-party platform availability
- Results may vary based on implementation and market factors
- We make no guarantees regarding specific business outcomes
13. Force Majeure
Great Owl Marketing is not liable for delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.
14. Governing Law
These terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
15. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be posted on our website and take effect immediately. Continued use of our services constitutes acceptance of modified terms. For ongoing managed services, we will provide 30 days notice of material changes.
16. Termination
Either party may terminate services with appropriate notice as specified in the service agreement. Upon termination:
- All outstanding payments become immediately due
- Access to managed services will be discontinued
- Client data will be returned or destroyed as requested
- Confidentiality obligations continue indefinitely
